Terms and Conditions of Sale and Website Use

1. Introduction

1.1. These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Neowise Pty Ltd (ABN 93 652 959 969) trading as Makoshen – Food For Living (“we”, “us”, “our”, “Makoshen”), and your purchase of any goods offered through the website.

1.2. By accessing our website, placing an order, or otherwise engaging with our services, you agree to be bound by these Terms. If you do not agree with any provision contained herein, you must cease use of the website immediately.

1.3. Nothing in these Terms is intended to exclude, restrict or modify any rights you may have under the Competition and Consumer Act 2010 (Cth) (“Australian Consumer Law” or ACL).

3. Eligibility and Account Requirements

3.1. You must be at least 18 years of age, or otherwise legally capable of entering into binding contracts, to make purchases from our website.

3.2. You warrant that all information provided during the order process is true, complete and accurate.

3.3. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion where we believe misuse, fraud, or non-compliance with these Terms has occurred.

 

4. Products

4.1. We produce and supply bee bread with honey, a processed bee product packaged in glass jars (“Products”).

4.2. Due to the natural origin of the product, shade, colour, texture, and flavour may vary between batches. Such variations do not constitute a defect or non-conformity.

4.3. All Product descriptions and images are provided for illustrative purposes only. We do not warrant that they will be identical to the delivered Product.

 

5. Pricing and Payment

5.1. All prices on our website are displayed in Australian Dollars (AUD) and include GST where applicable.

5.2. Prices are subject to change without prior notice. The price payable for the Product is the price displayed at the time your order is placed.

5.3. We accept payment via:

  • Credit and debit cards;

  • PayPal;

  • AfterPay (subject to AfterPay’s own terms and eligibility requirements).

5.4. An order is not considered accepted until full payment has been successfully received and we issue an order confirmation.

 

6. Formation of Contract

6.1. Submission of an order constitutes an offer to purchase the Products in accordance with these Terms.

6.2. We reserve the right to accept or reject your order in whole or in part, for any reason including but not limited to stock availability, suspected fraud, pricing errors, or incomplete information.

6.3. If an order is rejected after payment has been processed, we will refund the full amount to the original payment method.

 

7. Shipping and Delivery

7.1. We ship all orders using Australia Post, offering Standard and Express delivery options.

7.2. Standard Shipping is provided free of charge on all orders. Express Shipping is available at the rate displayed at checkout.

7.3. Orders are typically dispatched within 1–2 business days. Delivery timeframes provided by Australia Post are estimates and are outside our control.

7.4. You will receive tracking details once your order has been dispatched. Risk in the Products passes to you upon delivery to the address provided at checkout.

7.5. All orders are packaged carefully to protect the glass containers during transit. Despite this, you must notify us promptly if any Product arrives damaged.

7.6. We currently ship Australia-wide,.
Requests for overseas orders must be submitted by email to info@makoshen.com.au for assessment, quotation, and final approval.

 

8. Title and Risk

8.1. Title to the Products passes to you once we have received full payment.

8.2. Risk of loss, damage, or deterioration passes to you when the Products are delivered to the delivery address nominated in your order.

 

9. Returns and Refunds

9.1. Change of Mind

9.1.1. We accept returns for change of mind within 30 days of delivery.
9.1.2. You are responsible for return postage costs.
9.1.3. Products must be returned unused, unopened, and in original condition.
9.1.4. If the returned Product is damaged, used, or partially consumed, we may reject the return or deduct an amount reflecting the reduced value.

 

9.2. Product Quality Guarantee

9.2.1. If you believe the Product is expired, spoiled, or otherwise not in the expected condition, you must notify us within 30 days of delivery.
9.2.2. For eligibility, the Product must remain unused and in its original state.
9.2.3. Upon verification, we will, at our discretion, issue a replacement or full refund.

 

9.3. Australian Consumer Law

9.3.1. Our Products come with guarantees that cannot be excluded under the ACL.
9.3.2. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.
9.3.3. You are entitled to have the Products repaired or replaced if they fail to be of acceptable quality but the failure does not amount to a major failure.

 

10. Allergens and Safety Warning

10.1. Our Products contain bee-derived ingredients, including honey and bee bread.

10.2. Individuals with allergies to bee products, pollen, or bee stings should not consume the Products.

10.3. You are responsible for reviewing ingredient information and ensuring the Product is safe for your consumption.

 

11. Intellectual Property

11.1. All intellectual property, including but not limited to:

  • trademarks, trade names, and service marks relating to Makoshen and its Products;

  • the Product name, tagline, and slogan;

  • logos, visual brand elements, label designs;

  • product photography and videography;

  • written descriptions, website content, and digital assets;

  • packaging designs

is owned by Neowise Pty Ltd or licensed to us.

11.2. You must not copy, reproduce, publish, transmit, adapt, distribute, modify or otherwise exploit any part of our intellectual property without our prior written consent.

11.3. Unauthorised use of our trademarks or brand assets may constitute a breach of the Trade Marks Act 1995 (Cth) and other applicable laws.

 

12. Liability and Indemnity

12.1. To the maximum extent permitted by law and except as expressly set out in these Terms or required by the ACL, we exclude all liability for any direct, indirect, incidental, or consequential loss arising from your use of the website or purchase of the Products.

12.2. You agree to indemnify and hold harmless Neowise Pty Ltd, its officers, employees, and agents from any claims, losses, damages, liabilities, or expenses arising out of:

  • your misuse of the website or Products;

  • your breach of these Terms;

  • your negligent or unlawful conduct.

12.3. Nothing in these Terms excludes liability to the extent it cannot be excluded under the ACL.
